  All companies incorporated in Hong Kong ( except listed companies ) must identify persons who have significant control over them, and must keep a significant controller register for inspection by law enforcement officers. Generally speaking, the following natural persons "registrable persons"/corporated "registrable legal entities" should be regarded as important controllers of the company: -



(a) The person directly or indirectly holds more than 25% of the company ’s issued shares; or if the company has no share capital, the person directly or indirectly holds more than 25% of the company ’s capital or shares more than 25% of the company’s capital The right to profit;

(b) The person directly or indirectly holds more than 25% of the voting rights of the company ;

(c) The person directly or indirectly holds the right to appoint or remove more than half of the directors of the company's board of directors;

(d) The person has the right or in fact to exert or exercise significant influence or control over the company;

(e) The person has the right or in fact to exert or exercise significant influence or control over the activities of a trust or firm, and the trust or firm is not a legal person, but the trustee or member of the firm,

As far as the company is concerned , any one of the first four conditions is met.
